Warranties
VentureAdvisers warrants, for the benefit of its Clients, that (I) its consulting services will be performed by a qualified person or persons according to workmanlike standards; and (II) all deliverables provided to its Clients shall conform to the relevant specifications. VentureAdvisers disclaims all other warranties, whether express or implied, including without limitation, the implied warranties of merchantability or fitness for a particular purpose regarding its consulting services and deliverables. VentureAdvisers expressly disclaims any warranty of fundability for its clients and disclaims any guarantee of success of its (VentureAdvisers') fundraising or other efforts.
Liability
In no event shall VentureAdvisers have any liability under the terms of its Consulting Agreement, whether based on consulting services, contract, tort (including but not limited to strict liability and negligence), and/or any other tort theory, warranty or any other legal or equitable grounds, for any failure to obtain funding, competitive advantage, loss of profit (gross or net) or revenue for or by Client, and for any actual, direct, indirect, incidental, consequential, exemplary, punitive, statutory, multiplied, and/or special damages, even if Client has been advised by anyone of the possibility of such damages or believes they are possible. In no event shall a sum necessary for reperformance of the relevant services or correction of any nonconformity of deliverables nor any sum for any court, jury, or arbitration determined liability and/or damages against or of VentureAdvisers exceed the amount of all fees actually paid to VentureAdvisers under its Consulting Agreement.
Non-Broker Status
VentureAdvisers hereby expressly discloses that neither VentureAdvisers nor any of its officers or employees are licensed brokers or dealers in securities and do not intend to engage in the offering or
sale of securities.
